Bottom line up front: BlackRock has filed for a third bitcoin ETF, and this one is not another spot vehicle. The iShares Bitcoin Managed Protection ETF (PBIT) would deliver capped upside linked to IBIT plus a roughly 10% downside buffer – options-based protection for investors who want bitcoin exposure without the full roller-coaster.
How the Bitcoin Managed Protection ETF works
BlackRock filed the registration statement with the SEC on October 19, 2026 (Form 485APOS, accession 0001193125-26-425335). PBIT would not hold bitcoin directly. Instead it buys deep in-the-money call options on IBIT and comparable bitcoin assets, sells out-of-the-money calls at higher strikes to help pay for them, and parks the rest in cash, money market funds and short-term debt. The sold call strike sets the approximate upside ceiling – the prospectus calls it the Tranche Cap Value – while the purchased options carry an exercise price about 10% below the reference asset’s starting value, the “Protection Start Value.”
The structure runs in three overlapping option tranches with staggered monthly start dates spanning about a quarter, so each tranche rolls off and is replaced monthly. In plain English: a buffer ETF for people who keep saying they want bitcoin but also keep saying “but what about the drawdown.”
What the PBIT prospectus warns about
The fine print deserves a read. The fund provides no fixed protection floor – protection is “neither fixed nor immutable or guaranteed under any circumstances.” The ~10% figure applies per tranche, not to an investor’s total return, and buyers entering after a tranche starts can face materially different outcomes. If the reference asset rallies, downside measured from that higher level can exceed the initial floor. And in extreme volatility, the prospectus says investors could lose their entire investment. Management fees, not yet disclosed, will widen every loss and trim every gain.
Why BlackRock keeps building bitcoin wrappers
IBIT remains the largest bitcoin ETF by assets at roughly $65.7 billion, and Bitcoin Magazine reported it saw its biggest share-buying month since October 2025’s all-time high. Bloomberg Intelligence analyst James Seyffart called PBIT BlackRock’s third bitcoin ETF filing, noting investors trade part of the possible upside for some downside protection. The filing sits alongside spot IBIT and the income-focused BITA – a full product line for every bitcoin personality type, from “number go up” to “number go up, gently.”
The filing is preliminary: no launch date, exchange, fee or final terms are disclosed yet. We’ll track it through SEC effectiveness – see today’s related $773 million two-day outflow report for where the existing ETF money is currently heading.
