Circle Shareholder Files Trump World Liberty Lawsuit Over UAE Crypto Deals

A Circle shareholder has filed a Trump World Liberty lawsuit in federal court, alleging that two UAE-linked crypto transactions violated the Constitution’s Foreign Emoluments Clause – and thrusting stablecoin politics back into the spotlight.

The complaint lands squarely on the overlap of Washington and Gulf capital: the two worlds that built the modern crypto market are now on opposite sides of a courtroom filing.

Who Filed the Lawsuit and Why

J. Benjamin Greenberg, a Circle Internet Group shareholder and former Circle software engineer, filed the case on October 22 in the U.S. District Court for the District of Columbia as a shareholder derivative action. The defendants include President Donald Trump, World Liberty Financial, WLF Holdco, Stablecoin Holdco, DT Marks DEFI LLC and Steve Witkoff, the U.S. Middle East special envoy.

The legal theory is old and specific: the Foreign Emoluments Clause bars a president from accepting benefits from a foreign state without congressional consent. Greenberg argues two UAE-linked deals qualify – and separately alleges World Liberty’s conduct intentionally disrupted Circle’s business, harming Circle shareholders.

Circle itself stated it did not initiate, direct or participate in the filing. This is one shareholder, not the company.

The Two UAE Transactions at the Center

The first transaction predates the presidency. According to the complaint, an entity backed by UAE national security adviser Sheikh Tahnoon bin Zayed Al Nahyan agreed to pay $500 million for a 49% stake in World Liberty before Trump’s January 2025 inauguration – with the complaint alleging Trump received more than $75.5 million from that sale after taking office.

The second involves the dollar-pegged stablecoin world: the suit alleges a UAE-government-created investment fund chaired by Tahnoon used $2 billion of World Liberty’s USD1 stablecoin to fund an investment in Binance, which the complaint characterizes as an effort to inflate the value of Trump’s crypto holdings.

The relief sought is sweeping: a declaration that the profits violate the clause, an accounting of payments from foreign governments, an order to stop accepting foreign payments without consent, and disclosure of any other foreign crypto emoluments received in office. How Responders Are Pushing Back

The White House called the suit “frivolous” and “partisan,” saying Trump acts in the public interest and holds his assets in a trust. World Liberty spokesperson David Wachsman said the claims are “without merit” and the company complies with all U.S. laws, while counsel Bill Burck of Quinn Emanuel dismissed the filing as a partisan press release rather than a lawsuit.

Important caveat: every transaction described above is an allegation in a civil complaint, not an established fact. No ruling on the constitutional claims has been reported, and none of it has been adjudicated.

What is settled is the trajectory. Crypto policy, Gulf capital and presidential politics now share one docket – and the discovery phase, if it ever gets there, promises to be must-read material.
